Terms of Service

Agreement

These Terms of Service are an agreement between Incubator LLC, doing business as Affinity AI ("Affinity," "we," or "us"), and the person or organization that uses our websites, onboarding, portals, APIs, and related services (the "Services"). By creating an account, clicking to accept, or using the Services, you agree to these terms.

You must be at least 18 and legally able to enter this agreement. If you use the Services for an organization, you represent that you have authority to bind it. A signed agreement between you and Affinity for a specific product or Live relationship controls over these terms if they conflict on that subject. An applicable Business Associate Agreement controls if these terms conflict with it concerning protected health information.

What Affinity provides

Affinity provides software and operational infrastructure for healthcare practices, technology platforms, pharmacies, and related businesses. Features, products, pharmacy connections, and availability may change as the Services develop.

Test mode is for evaluation with synthetic people, identifiers, prescriptions, and other test data. It does not send an order to a real pharmacy, dispense medication, or create a real invoice or payment. Live mode may be used only after Affinity grants access and the organization completes any required clinical, pharmacy, security, commercial, and legal review.

Clinical and pharmacy responsibility

Affinity is not a healthcare provider and does not practice medicine, establish a clinician-patient relationship, or replace professional judgment. The treating clinician and their organization are responsible for patient care, informed consent, prescribing, records, licensure, credentialing, supervision, and compliance with applicable law. Pharmacies independently decide whether and how to accept, compound, dispense, fulfill, and ship an order. Affinity does not guarantee a clinical outcome, medication availability, or pharmacy acceptance.

Authorized support access

You authorize designated Affinity personnel to access your organization's workspace to provide support, investigate problems, configure the Services, and carry out your authorized instructions. Personnel may use temporary administrative access under their own accounts or a temporary session with an existing user's workspace permissions. These sessions do not require sharing your password or adding personnel to your team.

Support sessions identify the acting Affinity operator and, when applicable, the user whose workspace permissions are in use. Affinity records session entry, exit, and request authorization for accountability. Temporary access expires and can be revoked. Access to protected health information remains subject to the applicable agreement, Business Associate Agreement, and law.

Support actions use the effective account's permissions and the Services' normal workflow checks. The audit records the acting Affinity operator separately from that account. These terms authorize support access, but do not confer clinician authority or grant blanket or implied permission to sign prescriptions. Any prescription signing requires an authorized prescribing clinician's explicit attestation to the exact prescriptions through a supported signing workflow. Support access does not replace that attestation.

Accounts and acceptable use

You must provide accurate information, keep credentials and signing methods secure, and promptly tell us about suspected unauthorized access. You are responsible for activity by users you authorize. You may not use the Services unlawfully; submit false, harmful, or unauthorized information; access another person's account except through the authorized support workflow described above; bypass security or access controls; interfere with the Services; introduce malicious code; scrape restricted data; or reverse engineer the Services except where law expressly permits it. Controlled substances are not supported.

Data and privacy

You retain your rights in information you submit. You give Affinity permission to host, copy, transmit, and otherwise process that information as needed to provide, secure, and support the Services, comply with law, and follow your authorized instructions. Do not submit real patient information through public forms or Test mode. Protected health information may be submitted only through an approved Live workflow governed by the applicable agreement and, when required, a Business Associate Agreement. Our Privacy Policy explains our general data practices.

Fees and third-party services

Prices, invoices, payment timing, taxes, credits, and other commercial terms are those shown in the applicable order flow or separately agreed in writing. Banks, pharmacies, delivery carriers, integration providers, and other third parties control their own services and may have separate terms. Affinity is not responsible for a third party’s independent acts or services, but this does not limit duties Affinity cannot lawfully exclude.

Ownership

Affinity and its licensors own the Services, including the software, designs, documentation, and branding, excluding information you submit. These terms give you a limited, nonexclusive, nontransferable right to use the Services while your account is active and only for their intended business purpose. If you give us feedback, we may use it without restriction or payment to you.

Availability and termination

We may modify, suspend, or discontinue features and may restrict or end access when needed for security, safety, maintenance, nonpayment, legal compliance, or a violation of these terms. You may stop using the Services at any time. Terms that by their nature should continue after termination, including ownership, payment obligations, disclaimers, and liability limits, will continue.

Disclaimers and liability

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, noninfringement, or uninterrupted or error-free operation. Affinity is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for clinical decisions and pharmacy fulfillment outside Affinity’s control.

To the maximum extent permitted by law, Affinity’s total liability arising from the Services will not exceed the greater of $100 or the amount you paid Affinity for the Services giving rise to the claim during the 12 months before the event that created the claim. These exclusions and limits do not apply where applicable law does not allow them.

Contact and updates

Contact us at support@joinaffinityai.com with questions about these terms. We may update them prospectively. We will post the new effective date and notify you of material changes before they take effect. We will obtain renewed acceptance where required by applicable law or your agreement with Affinity. Updates apply prospectively and do not retroactively change the terms you previously accepted or treat an earlier acceptance as acceptance of updated terms.
